SUMMARY

Responsible for drafting, negotiating, editing, and finalizing documentation related to the Company's programs and the entities (primarily, captive insurance companies) through which those programs are implemented. Prepares and collaborates with Corporate Legal regarding submissions to regulatory agencies (primarily, state insurance departments) as well as responses to inquiries, demands, and/or complaints from regulators, insurance companies, vendors, and tenants. Collaborates with all company departments with respect to program implementation and management.

ESSENTIAL DUTIES AND RESPONSIBILITIES



  • Collaborates with internal business teams and Corporate Legal, as needed, to prepare, draft, review, and negotiate a wide range of documents and agreements.


  • Prepares documentation including operating agreements, series agreements, risk management agreements, insurance policies, reinsurance agreements, lease addenda, and communications for tenants and property owners.


  • Initiates drafts and reviews with Corporate Legal regarding inquiries, demands, complaints from regulators, insurance companies (e.g. subrogation demands), and tenants; regulatory submissions including business plan amendments, material changes, and dissolutions; holding company documentation; and documentation related to limited scope risk management arrangements and monitoring compliance therewith.


  • Proofreads and edit agreements, amendments, and related forms, and perform all necessary contract follow-up activities.


  • Ensures all agreement data and information are appropriately entered and saved in relevant systems and databases.


  • Assists with maintaining and updating the document and agreement templates.


  • Interacts with internal business teams to obtain all appropriate and required internal reviews and approvals for agreement terms and provisions.


  • Independently responds to various internal business team questions, inquiries, or requests for clarification regarding agreements, terms/conditions, review and approval process, etc., and for non-standard inquiries.


  • Maintains current, and assists with developing new, department processes and procedures relating to intake, review, and independently update such processes and procedures to increase department efficiencies and/or to ensure the processes and procedures remain current.


  • Ensures company records are current with respect to captive ownership and control.


  • Performs all duties in accordance with all company policies and procedures, and all federal, state and local laws, wherein the Company operates.


  • Performs other duties as assigned.



QUALIFICATIONS

EDUCATION / EXPERIENCE

Bachelor's Degree or equivalent combination of education and experience

Seven (7) or more years experience as a paralegal or related work experience

Three (3) or more years experience in the insurance industry working with captives

Three (3) or more years experience in contract review, drafting, and negotiating agreements

Certified Paralegal preferred

SKILLS

Knowledge of insurance service industry and insurance regulatory environment

Knowledge of legal principles governing insurance and contracts

Excellent verbal and written communication skills

Advanced analytical skills with ability to exercise independent judgment to identify issues and problem solve with minimal supervision

Strong organizational skills with a focus on accuracy and attention to details

Skilled in time management and prioritization with ability to multi-task on multiple high priority projects

Strong interpersonal skills with ability to interface with internal and external colleagues at all levels

Proficient in Microsoft Office (Word, PowerPoint, Excel, etc.) and standard business application systems

Ability to adapt and thrive in a fast pace environment

Ability and motivation to work independently
