Technology Service Corporation is seeking an Associate Corporate Counsel to join a small in-house Legal and Compliance department team for an employee-owned defense contractor based in Crystal City, Arlington, VA. The Associate Corporate Counsel works under the Corporate Counsel in the Legal and Compliance Department to provide legal advice and policy counsel to corporate leadership and program management, including the Contracts and Finance departments on a variety of corporate and Government contracts legal matters.

Responsibilities:

  • Provides legal guidance in connection with customer, supplier and competitor issues.
  • Drafts, reviews and negotiates contracts, subcontracts, purchase orders, software license agreements, and other documents of varying complexity.
  • Reviews and asserts Government contract data rights assertions under the FAR and DFARS, including SBIR projects.
  • Reviews and provides guidance on intellectual property issues including patents, copyright, trademark, proprietary markings, proprietary information agreements and non-disclosure agreements.
  • Conducts legal research and analysis on sensitive matters.
  • Provides training on a variety of laws and policies affecting company personnel as needed.

Required Qualifications:

  • 4-7 years of relevant experience with U.S. Government defense contracting as a licensed attorney, either with the U.S. Government, in private practice or as in-house counsel.
  • Active licensed attorney in good standing in any U.S. state or the District of Columbia.
  • US Citizenship with the ability to obtain and maintain a security clearance
  • In-depth knowledge of FAR, DFARS, and Aerospace and Defense Industry practices, including commercial terms and conditions, purchase orders, subcontracts, prime contracts, and agreement negotiation.
  • Strong experience managing DOD prime contracts and prime contractor-issued subcontracts
  • Expertise in intellectual property rights, data rights, copyright, trademark, proprietary information, non-disclosure agreements, and software licensing agreements.
  • Exceptional writing, analytical, and problem-solving skills; strong dispute and issue resolution; high organization and attention to detail; ability to prioritize and resolve multiple issues efficiently

Preferred Qualifications:

  • Proficiency in procurement integrity, conflict of interest issues, bid protests, claims disputes, and trade compliance (ITAR/BIS licensing).
  • Knowledge of employment laws (termination, discrimination, workers' compensation, wage laws) and employee benefits laws, including qualified plans and ESOPs.
  • Experience in corporate governance, establishing subsidiaries, and drafting articles of incorporation and bylaws.
  • Familiarity with insurance claims and experience as an empowered official or with OCR EASE, DECCS/DDTC, or SNAP-R systems.
