The M&A Paralegal performs a broad range of legal support for the Corporate Development ("CorpDev") team. This role is responsible for collaborating between Legal and the CorpDev teams on all legal related work, including managing communications, documents, and due diligence and integration processes. Additionally, this role will perform paralegal duties relating to corporate, commercial and M&A law. Reports To: Director, Mergers & Acquisitions Span of Control: No direct reports
M&A Due Diligence Coordination and Deal Specific Document Management
- Lead Confidentiality/Non-Disclosure Agreement ("NDA") process with Legal on behalf of CorpDev for all projects.
- Coordinates and executes any document destruction requirements (requires confirmation for entire extended project team)
- Review and comment on NDAs
- Review and coordinate gathering of information, materials, documents, reports and evidence necessary to respond to due diligence requests
- Lead due diligence calls and project team meetings between OC internal functions and outside counsel
- Partner with cross-functional Legal leaders and other internal subject matter experts, transaction team members and external counsel and advisors
- Primary contact for transaction team for electronic virtual dataroom ("VDR") questions and user training
- Act as project manager for internal team (Legal, CorpDev, and business) with respect to due diligence reviews -- consolidate requests, track response and progress, and ensure team remains on schedule
- For divestitures (and some acquisitions), responsible for engaging VDR vendor, negotiating fees, creating and maintaining VDR
- Provides review support on deal documents for Legal team
- Manage records, gather information, research requirements, docket necessary actions and approvals including drafting resolutions and minutes for M&A deals
- Track and communicate all material deadlines
- Create and maintain centralized repository that would entail deal specific documents
- Coordinate with CorpDev and business on budgeting and monthly forecasting for deals
Legal Integration
- Manage critical legal integration issues and advance efficient and effective solutions
- Provide counsel to integration legal resources as well as the integration team identifying proposed solutions for issues that impact multiple projects
- Drive continuous improvement as it relates to integration
Serve as Administrator of the Structured Transactions Governance Committee
- Prepare agendas, meeting materials and minutes for the internal Owens Corning committee responsible for monitoring the financial and legal governance of the corporate entity structure, as well as to provide oversight to capital and financing transactions amongst its legal entities.
MINIMUM QUALIFICATIONS:
- Bachelor's degree in business administration, communications, public relations, law, or related discipline required and/or Paralegal studies degree
- Relevant experience and demonstrated results in above referenced responsibilities
- Minimum of 5 years of experience as a transaction paralegal at a publicly traded company or top law firm
- Demonstrated interest and knowledge of mergers, acquisitions, divestitures and/or integration
- Is ideally located within the Eastern or Central Time Zones
