Job description Join Orano - Shaping a Sustainable Future Together About the Role We are seeking a detail-oriented Assistant General Counsel with 12+ years of experience to join our legal team in Bethesda, Maryland. This role includes lead responsibility for providing legal advice and representation on a wide range of transactional matters, including supporting the negotiation and structuring of various commercial transactions, providing strategic legal guidance on commercial agreements, government contracts, and partnerships, drafting sales contracts and vendor agreements, ensuring compliance with contractual obligations, and resolving commercial disputes. Additional responsibilities may include managing litigation, and providing legal advice and representation on regulatory compliance, administrative law, mergers and acquisitions, corporate governance, international law, nuclear energy law and policy, employment law, ethics, and fiscal law. The role will report to the General Counsel and include extensive engagement with executives and managers across the company. Core Responsibilities Legal: Draft, review, and negotiate a wide variety of commercial agreements, including for example, sales contracts, vendor agreements, partnership agreements, joint ventures, license agreements, and non-disclosure agreements. Ensure that the company's practices comply with legal and regulatory requirements. Provide strategic legal counsel on commercial agreements, government contracts, and regulatory matters Identify and assess potential legal risks associated with commercial activities and develop strategies to mitigate those risks. Ideal qualifications All candidates must meet the following minimum requirements in order to be considered for this opportunity. Candidates who exceed minimum qualifications may be considered for a higher-level position. Required Qualifications JD from an accredited law school and active bar membership 12+ years of legal experience, with demonstrated legal expertise and experience in transactions with commercial entities, commercial contracts, government contracts, regulatory matters, financial assistance law, negotiations, and dispute resolution Significant experience in litigation, administrative law, corporate governance, mergers and acquisitions, and international law strongly preferred Significant experience in nuclear energy law or other areas of energy law strongly preferred Strong analytical mindset with exceptional attention to detail Outstanding written and verbal communication skills Significant experience advising government or corporate executives Strong business acumen and ability to balance legal risk with business objectives Excellent contract drafting, reviewing, and negotiation skills What We Offer Competitive salary range: $155K - $225K, plus bonus (The provided salary information is a guideline.
