Job # PR26036 Job Title Contracts Specialist Office Location Roanoke, VA or Houston, TX Preferred Business Function /Department E&IS/Commercial Sales Territory, if applicable NA General Role Description Lead the review and participate in the negotiation of commercial contract terms related to the sale and supply of inverters, drives, motors, and associated service offerings to enable achievement of the business unit's Mid-Range Plan (MRP) and the long-term, healthy, sustainable, and profitable growth of the Company Role Accountabilities - Review and participate in the negotiation of commercial aspects of client contracts, supply agreements, service agreements, and purchase order terms - Provide commercial review of EPC flow downs, utility/ISO/RTO compliance exhibits for Solar, BESS and motor drive systems deals - Identify and assess contractual risks related to warranty, performance guarantees, liquidated damages, and other commercial terms per company guidelines - Facilitate coordination among internal stakeholders, including sales, engineering, project management, procurement, finance and legal during contract negotiations - Develop risk assessment tools to analyze commercial contractual risks against business unit guidelines - Analyze contract terms and conditions to ensure they comply with approved templates or prior transaction documents - Maintain contract documentation and records within contract management systems - Collaborate on complex contract negotiations in commercial transactions for capital goods, industrial equipment, and services, as needed - Advise internal stakeholders, including Commercial Director, General Managers and Vice President on contractual terms and associated risk exposure, as needed - Collaborate with legal team and business unit leadership to address complex contractual matters - Proactively and positively promote and exemplify the Company brand to internal and external contacts, and the general public - Proactively and positively promote a culture of superior performance, ethical conduct, professional development, and personal learning, by setting an example for others to follow General Employee Accountabilities - Preferred Qualifications - Master's degree in business administration or Certified Professional Contracts Manager (CPCM) or similar contract management or paralegal certification - Experience in power electronics, inverter systems, medium voltage drives, or motor control systems - 5 years of experience in power conversion equipment, EPC, renewable energy utility-scale or oil and gas project contracts negotiations - Knowledge of industry-specific regulations and standards - Knowledge of UCC, commercial law principles, or international trade terms (Incoterms) Link to TMEIC Corporation Americas website: https://www.tmeic.com/.
