Job Duties: Associate, Banker-Industry/Country Coverage with Goldman Sachs & Co. LLC in New York, New York. Evaluate companies' vulnerability to activism or shareholder agitation by analyzing their corporate governance record, structural defenses, financial performance, and shareholder register composition. Work with senior team members in providing strategic advice to clients during complex situations such as proxy contests, contested mergers and acquisitions (M&A), and crisis management. Work with senior team members to develop action plans and tactics for engaging with the activist, shareholders, proxy advisory firms, and other key constituents. Track and synthesize trends in the activism landscape, update and leverage the precedent activism database, which contains information on historical deals, and analyze potential next steps in live defense situations. Prepare summaries, case studies, and analyze shareholder activists and prior activism situations. Make use of several of the Firm's licensed databases, such as S&P Capital IQ, Refinitiv EIKON, Bloomberg, ISS Governance Services, Insightia, and Factset, as well as the Firm's proprietary databases, including Jupiter to obtain market, industry, and macro information, and then process, analyze, and present in the form of charts or tables in client books. Job Requirements: Bachelor's degree (U.S. or foreign equivalent) in Public Policy Analysis, Economics, Business, or a related field and two (2) years of experience in the job offered or in a related role. Prior employment must include two (2) years of experience with: utilizing, Refinitiv EIKON and Factset to analyze financial data on peer benchmarking and institutional investor trend analysis to identify vulnerabilities and industry outlook to prepare for client materials; analyzing, summarizing, and determining lessons learned from precedent situations, including compiling data and information from Factset, public filings, press releases, earnings releases, investor presentations, and news articles; developing client and Board-level materials, including preparation of strategic presentations and action plans for senior executives; and evaluating strategic alternatives and implications for M&A through scenario and sensitivity analysis.
