Senior Corporate Counsel Responsibilities & Duties
- Demonstrate leadership ability and a high level of project management skills.
- Provide legal advice and support on a wide range of corporate issues, including, corporate governance, mergers and acquisitions, government terms and conditions (FAR/DFARS, etc.), cyber security, import and export regulations, etc.
- Draft, review, and negotiate various types of contracts and agreements.
- Ensure compliance with all applicable laws and regulations.
- Assist with corporate litigation and disputes/ working with outside counsel.
- Work with company to protect intellectual property and assets.
- Advise senior management on legal risks and strategies.
- Participate in the development and implementation of company policies and procedures.
- Provide training and guidance to other members of the legal team and company employees at all levels of the organization as needed.
- Conduct legal research and stay updated on changes in laws and regulations applicable to the company.
- Any other projects assigned by Head or Managing Counsel.
Senior Corporate Counsel Skills
- Strong negotiation skills.
- Excellent analytical and problem-solving abilities.
- Ability to manage multiple projects independently and prioritize tasks effectively through completion.
- Strong interpersonal and communication skills, and comfort advising executive-level employees.
- Experience with intellectual property law is a plus.
- Ability to work independently and as part of a team.
- Demonstrated ability to provide sound legal advice on matters noted above and willingness to take on new, complex matters and special projects.
- Excellent written and verbal communication skills.
- Proficiency in legal research and analysis.
- Ability to work under pressure and meet tight deadlines.
- High ethical standards and professional integrity.
- Strong organizational skills and attention to detail.
Senior Corporate Counsel Qualifications
- Juris Doctor (JD) degree from an accredited law school.
- Active bar membership in good standing to a state bar of the United States.
- At least 5 years' relevant legal experience, with in-house corporate counsel experience strongly preferred.
- Exposure to U.S. government contracting work and relating regulations (FAR/DFARS, etc.) also strongly preferred.
