Director, Financial Reporting and Technical Accounting

This position has overall responsibility for managing the preparation and reporting of Ingevity's consolidated financial statements and data reported both internally and externally. This comprises managing all facets of reported financial information for Ingevity, including Ingevity's Annual Report (Form 10-K), earnings releases, employee benefit plan-related filings, all filings with the Securities and Exchange Commission (SEC), and ensuring all financial data within the annual proxy, fact sets posted to our website and Ingevity's sustainability reports (both sustainability reporting to compliance related third parties like the CDP, as well as our own produced sustainability report) are complete and accurate. In this role, the position is responsible for ensuring timely and effective communications and planning with senior management, operations, and corporate functional leadership.

The position is also responsible for managing the timely and effective research and implementation of any changes in policies, accounting, and disclosure arising from pronouncements of various rule-making bodies, including the Financial Accounting Standards Board (FASB), the Public Company Accounting Oversight Board (PCAOB), the New York Stock Exchange (NYSE) and the SEC. The activities of these rule-making bodies will have a significant impact on Ingevity's external financial reports and the internal financial reporting of Ingevity's operations, which directly impacts the results of Ingevity. Additionally, this position will be integral to the integration of key business acquisitions and will be directly responsible for the technical accounting review of the acquisition and the integration of standard day-to-day operational accounting into Ingevity's existing accounting and reporting structure.

The Director, Financial Reporting and Technical Accounting, will be responsible for the continued implementation, design, operation, and testing of Ingevity's internal controls over financial reporting (ICOFR) for the financial reporting function. In addition, you will be responsible for improving Ingevity's global Sarbanes-Oxley 404 program by driving standardization and optimization for your responsible areas.

This position requires very strong personnel management skills, technical accounting, planning, interpersonal and communications skills, as effective interaction with senior management is a critical to success. In addition, this position will be a key interface between the operations, corporate finance (Tax, Treasury, HR, etc.), Legal, Investor Relations and senior management. Responsibility for maintaining Ingevity's Company-wide Financial Standards.

MAJOR RESPONSIBILITY AREAS:

Financial Reporting

Lead all aspects of the Company's SEC reporting process, including Forms 10-K, 10-Q, 8-K, proxy statements, registration statements, and other securities filings, ensuring compliance with SEC regulations and reporting deadlines. Oversee preparation and filing of employee benefit plan financial statements and related filings with the SEC and Department of Labor. Areas of responsibility include:

  • Lead the quarterly and annual external reporting process, coordinating activities across Finance, Legal, Investor Relations, Treasury, Corporate Communications, senior leadership and external auditors to ensure timely and accurate filings.
  • Direct the timely and accurate preparation and review of all SEC filings, including financial statements, footnote disclosures, Management's Discussion and Analysis (MD&A), earnings releases, and related disclosures. Ensure earnings release documents support the earnings call script.
  • Partner with Legal and external SEC counsel to evaluate disclosure requirements and facilitate appropriate review of all public filings.
  • Oversee financial reporting aspects of capital markets activities, including registration statements, debt and equity offerings, prospectuses, and other financing transactions.
  • Serve as the primary finance liaison for SEC comment letters, regulatory inquiries, and examinations, coordinating responses with Legal and senior management.
  • Lead preparation of materials for the Audit Committee, including significant accounting judgments, critical accounting estimates, SEC reporting matters, technical accounting developments, and emerging financial reporting risks.
  • Organize and lead the Company's Disclosure Committee process, ensuring effective disclosure controls and procedures and compliance with SEC requirements.
  • Partner closely with Investor Relations and Corporate Communications to ensure consistency and accuracy of externally communicated financial information.
  • Lead SEC reporting and disclosure training initiatives across the Finance organization.
  • Oversee financial reporting and disclosure compliance for employee benefit plans in accordance with U.S. GAAP, SEC, and Department of Labor requirements.
  • Maintain governance over Workiva/Wdesk reporting processes, including XBRL tagging, data integrity, and reporting controls.
  • Support external financial statement audits and collaborate with internal audit teams on matters impacting financial reporting.
  • Monitor and enhance internal controls over financial reporting to ensure SOX compliance, utilization of WDesk/Workiva to improve documentation and reporting integrity.

Technical Accounting

Serve as the Company's primary subject matter expert on U.S. GAAP, SEC reporting requirements, and emerging accounting standards. Lead the evaluation of complex accounting matters and ensure consistent application of accounting policies across the organization. Areas of responsibility include:

  • Lead technical accounting analyses for complex, unusual, and non-routine transactions, including acquisitions, divestitures, financing transactions, restructurings, strategic investments, and commercial arrangements.
  • Oversee the preparation and review of technical accounting memoranda supporting key accounting conclusions and positions for senior management, external auditors, and the Audit Committee.
  • Monitor activities of the FASB, SEC, PCAOB, and other regulatory bodies and assess the impact of emerging accounting and reporting requirements on the Company.
  • Lead implementation of new accounting standards, including policy development, impact assessments, stakeholder communication, and adoption planning.
  • Establish and maintain accounting policies and governance procedures to ensure consistent application of accounting guidance across the organization.
  • Partner with business leaders and functional teams to provide proactive accounting guidance on strategic initiatives and commercial transactions.
  • Drive alignment with external auditors regarding significant accounting judgments and technical accounting positions.
  • Develop and deliver technical accounting training programs for Finance personnel and business stakeholders.
  • Maintain and periodically update the Company's Financial Standards Manual and related accounting policy documentation.
  • Ensure compliance with U.S. GAAP, SEC regulations, and other applicable accounting requirements in all externally reported financial information.

Accounting

Provide leadership and oversight for accounting and reporting related to:

  • Share-based compensation, treasury stock transactions, and earnings per share calculations.
  • Derivative instruments and hedge accounting.
  • Strategic investments, including equity method investments and investments accounted for under the measurement alternative.
  • Pension and other postretirement benefit plans.
  • Restructuring activities and exit cost programs.
  • Business combinations, divestitures, and purchase accounting.
  • Annual and interim goodwill and indefinite-lived intangible asset impairment assessments.
  • Evaluation of impairment indicators and triggering events related to long-lived assets, finite-lived intangible assets and other asset groups.

Strategic Business partnership and Advisory Support

Serve as a trusted advisor to executive leadership on accounting, financial reporting, disclosure, and regulatory matters through performing the following responsibilities:

  • Serve as a key advisor and strategic partner to the Chief Accounting Officer, providing leadership on technical accounting, external reporting, internal controls, finance transformation initiatives, regulatory developments, and enterprise-wide strategic matters.
  • Provide accounting and disclosure guidance related to acquisitions, divestitures, strategic investments, restructurings, financing transactions, and other significant business initiatives.
  • Partner with Legal, Corporate Development, Treasury, and business leadership to evaluate transaction structures and minimize unintended accounting or disclosure consequences.
  • Advise management regarding emerging accounting, SEC, and regulatory developments that may impact corporate strategy, financial results, or external reporting.

Talent Development and Leadership

  • Lead, develop, and mentor finance professionals, fostering a culture of technical excellence, accountability, continuous improvement, and succession planning across financial reporting and technical accounting.
  • Build organizational capabilities through targeted training, career development programs, knowledge sharing, and leadership development initiatives.

Reporting Transformation and Digital Enablement

  • Evaluate and implement emerging technologies and artificial intelligence solutions to improve financial reporting, disclosure management, internal controls, and technical accounting processes.
  • Lead continuous improvement initiatives and drive optimization of Workiva, Microsoft Copilot, and other reporting tools to improve data governance, process automation, disclosure quality, and reporting cycle efficiency.

Qualifications:

  • Bachelor's degree in Accounting required; MBA preferred
  • CPA required
  • 10-15 years of experience
  • Public accounting is a requirement; Big 4 experience is preferred
  • Strong analytical, communication and interpersonal skills
  • Strong technical accounting experience
  • Experience with cash flow preparation required
  • Excellent systems skills; Working knowledge of SAP preferred
  • Experience with Workiva SEC filing tool required
  • Excellent Excel skills
  • Mastery of U.S. GAAP financial statements and SEC reporting
  • Demonstrated ability to work under time pressure
